Here’s a breakdown of the important dates your business needs to have on its radar for February 2026.

Early February Filings: The February 2nd Deadline

The beginning of the month is the most demanding period, with several major forms due to both recipients and government agencies.

Forms W-2 and 1099-NEC: Employee and Contractor Reporting

Form W-2, Wage and Tax Statement: Employers must provide 2025 W-2s to all employees by this date. Simultaneously, copies of these W-2s, along with the transmittal Form W-3, must be filed with the Social Security Administration.

Form 1099-NEC, Nonemployee Compensation: If your business paid $600 or more to independent contractors, freelancers, or other non-employees for services in 2025, you must furnish them with a Form 1099-NEC. This form is also due to the IRS on this same day. This dual deadline is strict, so it’s critical to have your records in order well in advance.

Other Information Returns Due to Recipients

While the IRS filing deadline for some of these forms is later, you must provide the following to recipients by February 2nd: Form 1098 (Mortgage Interest), W-2G (Gambling Winnings), and various other Forms 1099 reporting income such as rent, royalties, dividends, or retirement plan distributions.

Quarterly and Annual Payroll Tax Returns

Several key payroll forms are due on February 2nd. However, if you've deposited all taxes on time, the filing deadline extends to February 10th.

  • Form 941 (Employer's QUARTERLY Federal Tax Return): File for the fourth quarter of 2025.
  • Form 940 (Employer's Annual Federal Unemployment (FUTA) Tax Return): File for the 2025 calendar year.
  • Form 943 (Employer's Annual Federal Tax Return for Agricultural Employees): Farm employers must file to report 2025 taxes.
  • Form 945 (Annual Return of Withheld Federal Income Tax): For reporting income tax withheld from nonpayroll items like pensions, annuities, and backup withholding.

The Mid-Month Check-In: February 10th Extended Deadline

This date is an important extension for diligent businesses. If you made timely deposits for the full tax liability for Forms 940, 941, 943, 944, or 945, your deadline to file the actual return is extended to February 10th.

Later in the Month: February 17th Deadlines

A few more key dates arrive after the Presidents' Day holiday.

  • Certain Information Statements Due: You must furnish recipients with Form 1099-B (Broker Transactions), Form 1099-S (Real Estate Transactions), and certain Form 1099-MISC (Miscellaneous Income) by this date.
  • Monthly Tax Deposits: For businesses on a monthly deposit schedule, taxes withheld for Social Security, Medicare, and other nonpayroll items during January are due.
  • Payroll Withholding Update: Begin withholding income tax for employees who claimed an exemption in 2025 but have not submitted a new Form W-4 for 2026.
